Terms of service

These terms are between Rocket Labs Consulting Inc. ("Rocket Labs", "we"), which operates Talaan, and the business that creates a Talaan account ("you"). By creating an account you agree to them on behalf of that business.
The service
Talaan creates sales invoices from your marketplace orders, keeps related accounting records, and — when enabled and once you hold the required BIR registrations — transmits invoices to the BIR Electronic Invoicing System.
Your responsibilities
- The business details you enter (registered name, TIN, branch, RDO, VAT status, address) are accurate and match your BIR registration.
- You connect only stores you own or are authorized to manage, and choose the correct company for each.
- You obtain and keep your own BIR registrations for your system (for example the Acknowledgement Certificate, EIS certificate and Permit to Transmit). Rocket Labs supports these filings as your software provider but can't hold them for you.
- You review invoices and tax figures with your accountant. Talaan applies the settings you choose; tax treatment remains your responsibility.
- You keep your users' logins secure and remove people who no longer need access.
Your data
Your records belong to you. We process them only to provide Talaan, as described in the privacy policy. You can export them at any time.
Acceptable use
Don't use Talaan to break the law or marketplace rules, to access accounts you aren't authorized for, or to disrupt the service.
Availability and changes
We work to keep Talaan available and your data backed up, but the service may sometimes be interrupted for maintenance or reasons outside our control. We may improve or change features; we'll give notice before removing anything you rely on.
Liability
To the extent the law allows, Rocket Labs isn't liable for indirect or consequential losses, and our total liability is limited to the fees you paid for Talaan in the twelve months before the claim.
Ending the service
You can close your account at any time; we'll provide an export of your records first. We may suspend an account that breaks these terms, after notice where reasonable.
Governing law
These terms are governed by the laws of the Philippines, and disputes are subject to the courts of San Juan City.
